1. Scope and precedence

These terms supplement the Terms of Use and Privacy Policy. A project-specific written agreement, fee confirmation, license, assignment, or other written agreement between you and TVC may supplement or replace these general terms for that project. If there is a conflict, that specific written agreement controls to the extent of the conflict.

By accepting a collaboration or submitting work to TVC, you agree to the terms that apply to that activity.

2. Relationship and authority

Unless a separate written agreement states otherwise, you are an independent contractor or independent contributor, not an employee, partner, joint venturer, or agent of TVC. You are responsible for your own taxes, insurance, equipment, and legal obligations arising from your work.

You may not represent that you speak for TVC, bind TVC to an obligation, use TVC’s name or marks as an endorsement, or make commitments for TVC or any client without written authorization. TVC is an independent platform and is not affiliated with, endorsed by, or acting for Spotify, an artist, label, venue, client, or other third party unless a specific relationship is expressly identified.

3. Ownership, license, and permitted use

You retain ownership of work you created before your collaboration with TVC and of any other rights you do not expressly grant in writing. Ownership of work created specifically for TVC, and any assignment or work-made-for-hire arrangement, will be governed only by a separate written agreement that states those terms.

Unless a project-specific written agreement says otherwise, you grant TVC a non-exclusive, worldwide, royalty-free license to receive, review, store, reproduce, format, display, publish, distribute, and promote the work you submit or create for TVC for the agreed project, TVC’s editorial and portfolio purposes, and reasonable promotion of that work. TVC may make technical or editorial formatting changes that do not materially misrepresent your work.

You authorize TVC to identify you as the creator and to display or publish the work with agreed attribution. TVC will make reasonable efforts to use agreed credits, but a platform limitation or good-faith omission does not transfer ownership or create an obligation beyond the applicable written agreement.

4. Permissions and representations

You represent that you have the rights, permissions, licenses, and releases needed to provide the work and grant the rights described in these terms or a project-specific agreement. Your work must not knowingly infringe copyright, trademark, privacy, publicity, moral, contractual, or other rights.

Music, recordings, compositions, artwork, photographs, trademarks, samples, performances, and other materials owned by third parties remain owned by their respective rights holders. TVC does not claim ownership of third-party music. You are responsible for obtaining permission for third-party materials included in your work and for complying with any conditions attached to those permissions.

5. Compensation and expenses

Compensation, currency, payment timing, usage fees, and any other financial terms apply only if separately agreed in writing. No fee, minimum payment, royalty, or expense reimbursement is implied by these terms, a submission, publication, or consideration of work.

Expenses are reimbursable only when approved or agreed in writing in advance. You remain responsible for your own taxes and expenses unless a project-specific written agreement states otherwise.

6. Confidentiality and privacy

Where TVC identifies information as confidential or where its nature reasonably requires confidentiality, do not disclose, publish, reproduce, or use it except as authorized for the relevant collaboration. This may include unreleased work, personal information, client information, credentials, pricing, and non-public creative or business information.

Protect personal information you receive through a collaboration and use it only for the authorized purpose. TVC handles personal information under its Privacy Policy. Confidentiality and privacy obligations continue after the collaboration ends for as long as the information remains confidential or protected by law.

7. Conduct and ending a collaboration

Use TVC services and materials lawfully and do not submit malicious, deceptive, defamatory, discriminatory, abusive, or infringing material. Do not misuse access, impersonate TVC or another person, or interfere with the security or operation of TVC services.

Either party may cancel or end a collaboration as permitted by the applicable project-specific agreement or, where no such agreement applies, on reasonable notice. TVC may end access or a collaboration for unlawful conduct, material breach, security risk, or misuse of confidential information. Ending a collaboration does not undo rights already granted, licenses already agreed, payment already earned, or obligations that by their nature continue. TVC does not guarantee publication, approval, audience results, payment beyond agreed terms, or future work.

8. Changes and contact

TVC may update these general terms from time to time. The effective date above identifies the version that applies. A change will not alter a separate written agreement already governing a completed or active project unless that agreement permits it or you agree in writing.
